Terms of Service

These terms govern your use of Overclip: what the service does, how plans and credits are billed, how to cancel, when we refund, and what you may and may not publish with it.

01Who you are contracting with

Overclip is published and operated by HELIOS, a SASU, société par actions simplifiée unipersonnelle incorporated in France with a share capital of 500 EUR, registered under 994 198 265 R.C.S. Montluçon, with its registered office at 16 rue Joseph Proudhon, 03100 Montluçon, France. In these terms, "we" and "us" refer to that company, and "you" refers to the person or organisation using the service.

By creating an account or using the service, you accept these terms. If you accept on behalf of a company, you confirm that you are authorised to bind it.

02What the service does

Overclip is software delivered over the internet. You describe a product, then assemble an agent: a visual sequence of blocks that writes scripts, generates short marketing videos using third-party artificial intelligence models, edits them, and publishes them to social accounts that you own and connect yourself.

The service is intended for professional use. It is not designed for, or directed at, consumers buying for personal purposes, and it is not available to anyone under 18.

Generation runs on third-party models. Their availability, their quality and their pricing are outside our control, and we may change which model a block uses, or retire one entirely, when a provider withdraws it or when a better one becomes available.

03Your account

You sign in with a link sent to your email address. Anyone with access to that inbox can reach your workspace, so keep it secure. You are responsible for everything done through your account.

You must give accurate information and keep your billing email up to date. We may suspend or close an account that provides false identity or billing information.

04Plans, credits and billing

We offer a Free plan and two paid monthly subscriptions: Pro at 49 USD per month and Studio at 149 USD per month. Prices are stated excluding any applicable taxes, which are added at checkout based on your location and your tax status.

Each paid plan includes a monthly allowance of generation credits: 3,000 credits on Pro and 12,000 credits on Studio. Credits are reset to the plan allowance at each renewal. They do not accumulate from one month to the next, and unused credits are lost at renewal.

Credits are consumed when a generation actually runs, at a rate that depends on the model and the format. The cost of a run is shown before you start it. A credit spent on a completed generation is used, whether or not you are satisfied with the result.

Subscriptions are billed in advance and renew automatically each month until cancelled. Payments are processed by Stripe. We never receive or store your card number.

If a payment fails, Stripe retries it over several days. If it keeps failing, the subscription is cancelled and the workspace returns to the Free plan. Your data is not deleted at that point.

We may change our prices. A change never applies to a period already paid for: it takes effect at your next renewal, and we tell you by email at least 30 days beforehand so you can cancel before it applies.

05Cancellation and refunds

You can cancel at any time, without giving a reason and without contacting us, from Settings in the app: the billing portal cancels the subscription in one click.

Cancelling stops the next renewal. Your plan stays active until the end of the period you have already paid for, and you keep that period's credits until it ends. Cancelling mid-month does not trigger a partial refund of the current month.

We do refund, on request to our support address and within 14 days of the charge:

  • a duplicate charge, or a charge taken after a cancellation was confirmed
  • a renewal you did not intend, provided the plan was not used during the new period and no credits were spent on it
  • a period during which the service was unavailable through our fault for more than 48 consecutive hours

Outside those cases, subscription fees for a period already started are not refundable, because credits and generation capacity are made available immediately and the underlying model usage is paid by us as it happens.

Refunds go back to the original payment method, usually within 5 to 10 business days depending on your bank.

If you contract as a consumer under EU law, you have a 14-day right of withdrawal. Because the service is digital content supplied immediately, you expressly ask us to start performance during the withdrawal period when you subscribe, and you acknowledge that you lose that right once generation has been used. This does not affect statutory rights that cannot be waived.

06Your content and what the models produce

Everything you bring stays yours: product information, images, scripts, brand assets and connected accounts. We claim no ownership over it, and we use it only to run the service for you, as described in our privacy policy.

As between you and us, the videos, images and text produced by your agents are yours, and you are free to use them commercially. We make no claim on them.

We cannot warrant that generated output is unique or free of third-party rights. Generative models can produce similar results from similar prompts, including for other customers. You are responsible for checking that what you publish is lawful and does not infringe anyone else's rights.

You grant us a limited right to store and process your content in order to operate the service and display it back to you. We do not use your content to train models of our own.

07Acceptable use

You must not use the service to produce or publish:

  • content depicting a real, identifiable person without their consent, including synthetic likenesses and voice clones
  • content that impersonates a person, a brand or a public authority, or that is presented as genuine when it is not
  • sexual content, any sexual content involving minors, or content promoting violence, hatred or discrimination
  • content that is unlawful or defamatory, or that infringes intellectual property, image or privacy rights
  • medical, financial or legal claims that you cannot substantiate, and any deceptive advertising
  • content that breaks the rules of the platform it is published to, or that circumvents its automation and spam policies

You must not resell or redistribute access to the service, attempt to extract our prompts or model configuration, circumvent credit limits, or use automated means to access the service beyond the interfaces we provide.

You are responsible for holding the rights to every product, brand, image and voice you feed into an agent, and for complying with advertising and disclosure rules in the countries where you publish, including labelling AI-generated content where the law or the platform requires it.

08Social platforms and third-party providers

Publishing goes through your own accounts on TikTok, Instagram, YouTube and X, connected through our publishing partner. Your use of those platforms stays governed by their own terms, and they can moderate, restrict or remove anything published, including for reasons related to automation or to AI-generated content.

We cannot guarantee that a post will be accepted, will stay online, or will reach any audience. A platform disconnecting your account, changing its API or rejecting a post is not a failure of the service.

09Availability and changes

We work to keep the service available, but we do not commit to a specific uptime level. Maintenance, provider incidents and model outages happen, and generation queues can slow down under load.

The service is under active development. Features can be added, changed or removed. When a change materially reduces what a paid plan gives you, we tell you by email before it applies, and you can cancel.

10Suspension and termination

We may suspend or terminate an account that breaches these terms, in particular the acceptable use section, that exposes us or our providers to legal risk, or that is used fraudulently. Where the situation allows it, we warn you first and give you a chance to fix it.

You can close your account at any time. Ask us at our support address and we delete your workspace and its content, subject to the retention obligations described in the privacy policy.

11Warranties and liability

The service is provided as is. We do not warrant that it will be uninterrupted or error free, that generated output will fit a particular purpose, or that publishing through it will produce any commercial result.

To the extent permitted by law, our total liability for any claim relating to the service is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for lost profits, lost audience, lost data or reputational harm.

Nothing here excludes liability for fraud, wilful misconduct, gross negligence, or anything that cannot be excluded under French law.

You indemnify us against third-party claims arising from content you generated and published through the service, where that content breaches these terms.

12Changes to these terms

We may update these terms. The date at the top of this page always reflects the version in force. For a change that materially affects your rights or your subscription, we notify subscribers by email at least 30 days in advance. Continuing to use the service after a change takes effect means you accept it.

13Governing law and disputes

These terms are governed by French law.

Talk to us first: most problems are settled by email at elio.brea@polyware.net. If we cannot agree and you are a business, the courts having jurisdiction over the registered office of HELIOS have exclusive jurisdiction.

If you are a consumer, you keep the right to bring proceedings before the courts of your place of residence, and you may use a consumer mediation service or the European Commission online dispute resolution platform.
